A registered office is the official address where a company is incorporated or registered. This address, which also appears in the company’s MCA master data, is the place where all formal correspondence and legal notices must be sent.
Even if the registered office is shifted within the same city, the change must be reported to the MCA as per the Companies Act, 2013. The procedure for changing the registered office varies depending on whether it is moved:
Within the same city or town
From one jurisdiction of a Registrar of Companies (RoC) to another within the same state
From one state to another
In every case, the consent of the shareholders and the approval of the concerned RoC must be obtained before the change takes effect.

Changing your company’s address within the same state does not require alteration of the Memorandum of Association (MoA). However, if the registered office is being shifted to a different state, the Situation Clause in the MoA must be altered to reflect the new state.
The Registrar of Companies (RoC) must be notified within 30 days of the change of address by filing the required documents.
